AMSOIL Terms and Conditions

Examples of covered services include AMSOIL Website, MyGarage™, AMSOIL Mobile App, and Shop by Vehicle

These Terms and Conditions (“Terms”) are entered into by and between you and AMSOIL, INC. (“AMSOIL,” “we”, “our”, or "us"). The following Terms govern your access to and use of https://www.amsoil.com/ (the “Site”), including any functionality or services offered on or through the Site, such as, but not limited to, MyGarage™ and AMSOIL mobile applications, including the AMSOIL Dealer Zone app, (together with the Site, referred to as the “Services”). BY ACCESSING OR USING OUR SITE AND SERVICES, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT ACCESS OR USE THE SITE OR SERVICES.

We may modify these Terms at any time. All changes will be effective immediately upon posting to the Site. Material changes will be conspicuously posted on the Site or otherwise communicated to you. By using the Site after changes are posted, you agree to those changes.


Eligibility

YOU MUST BE AT LEAST EIGHTEEN (18) YEARS OLD TO USE OUR SITE AND SERVICES. BY ACCESSING, USING AND/OR SUBMITTING INFORMATION TO OR THROUGH OUR SITE OR SERVICES, YOU REPRESENT THAT YOU ARE NOT YOUNGER THAN 18 AND YOU HAVE THE LEGAL AUTHORITY TO ENTER INTO THESE TERMS AND USE THE SITE AND SERVICES PROVIDED.


Account Registration

To access and use certain areas or features of the Site and Services, you will need to register for an account. By creating an account, you agree to (a) provide accurate, current and complete account information, (b) maintain and promptly update, as necessary, your account information, (c) maintain the security of your account credentials, (d) be responsible for the acts or omissions of any third party who has authority to access or use the Site on your behalf, and (e) immediately notify us if you discover or otherwise suspect any security breaches related to the Site or your account. You are permitted to access your account on a single computer at a time, under your control. You may not access or use the account simultaneously on more than one computer or device, nor make it available over a network in a way that enables multiple users to access the account simultaneously. You further understand and agree that we may take actions we deem reasonably necessary to prevent, respond to, pursue or remedy suspected or actual fraud and abuse, including without limitation, termination or suspension of your account. In no event will AMSOIL be liable for the removal of or disabling of access to your account.


Content

The Site and Services, including its text, audio, video, graphics, charts, photographs, interfaces, icons, software, computer code, data, trademarks, logos, slogans, documentation, other components and content, and the design, selection, and arrangement of content, and all intellectual property rights in the foregoing (collectively, the “Content”) are exclusively the property of AMSOIL or, as applicable, its vendors or licensors. Except for the rights expressly granted to you in the next section, AMSOIL reserves all other rights in and to the Site, Services, and Content, including all intellectual property rights.


Use Rights

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable license to access and use the Site and Services for personal or business purposes. Your use must comply with these Terms, any additional terms posted on the Site and Services applicable to you, and all applicable laws and regulations. You agree to use the Site, Services, and Content only for the purposes for which they are intended and made available by AMSOIL. In the case of MyGarage™, your use of that Service is limited to one computer at a specific time that is controlled by you (the account holder and user bound by this Agreement); you cannot make the account available over a network where it could be used by multiple computers or users at the same time. Where Services are bundled, they cannot be separated and redistributed or used as standalone applications.


Vehicle Data

You may use certain Services, such as MyGarage™ (our vehicle and equipment information lookup and retention system), to store and manage vehicle and equipment record instances, including those not owned by you but in the possession of your customers, employers, or associates. Excessive record instances are subject to periodic review by staff at AMSOIL to determine that the Service is not being exploited in any way for personal gain or to reverse engineer proprietary vehicle and equipment application and maintenance information. Any indication that the Service is being abused is immediate grounds for termination of this agreement. Vehicle and equipment records can ultimately be transferred to separate individuals’ accounts and will be removed from the user’s account by taking that action.


Vehicle Maintenance

The Services can be used by you to select products, facilitate a maintenance schedule, and set maintenance reminders for vehicle and equipment record instances stored within your account. This maintenance scheduling is user-generated and is not intended to replace or supersede proper care and maintenance schedules recommended by vehicle manufacturers. Individual AMSOIL products carry various service life recommendations, and the user assumes full responsibility for any maintenance scheduling conducted through the Services. Our recommendations apply to AMSOIL products only, as we cannot be responsible for products from other manufacturers. AMSOIL will not be liable for damages, failures, or losses resulting from your reliance on the Services or use of AMSOIL products. This includes, for example, failure to follow proper vehicle maintenance procedures, perform adequate inspections or obtain proper resolution, or enter accurate maintenance and vehicle data into the Site or Services. Wherever a user is creating maintenance reminders for vehicles owned by others like your customers, employees, or associates (per the above provision), it is the user’s responsibility to acquire that individual’s consent; AMSOIL will not be liable for the accuracy or legality of any such reminders or correspondence, including any guarantee that such reminders or communications will reach their intended audience.


Feedback

AMSOIL allows you to submit product reviews to AMSOIL Inc. By submitting your Feedback to us, you agree to assign, and hereby irrevocably assign to us, all right, title, and interest in and to the Feedback and all copyrights and other intellectual property rights embodied in such Feedback on a worldwide basis. We will be free to use, copy, distribute, publish and modify your Feedback on an unrestricted basis, without compensation to you. Moreover, you hereby assign or waive, as the case may be, any moral rights that you may have in or to the Feedback.


User Data Restrictions

You may not upload, post, or transmit any information, data, or feedback to our Services (“User Data”) that: (1) would violate or infringe the proprietary, privacy, publicity, or intellectual property rights of AMSOIL or any third party; (2) is obscene, defamatory, threatening, harassing, abusive, libelous, hateful, or harmful to any other person or entity; (3) violates any applicable law, statute, ordinance, or regulation; or (4) puts in jeopardy the security of your account, AMSOIL, our Site, or our Services. We reserve the right, but have no obligation, to review, flag, modify, refuse, and remove any and all User Data from the Site and Services. YOU AGREE THAT YOU WILL EVALUATE AND BEAR ALL RISK RELATED TO THE USE OF, OR ANY ACTIVITIES ASSOCIATED WITH, USER DATA THAT YOU PROVIDE THROUGH OUR SERVICES. THE RESULTS OF ANY ACTIONS YOU TAKE BASED ON USER DATA, AMSOIL MATERIALS, OR OTHER CONTENT YOU FIND ON OUR SITE OR SERVICES ARE SOLELY YOUR RESPONSIBILITY. UNDER NO CIRCUMSTANCES WILL WE BE LIABLE IN ANY WAY FOR USER DATA OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF ANY USER DATA PROCESSED THROUGH OUR SERVICE.


Mobile Use

Your contract with your mobile network provider (“Mobile Provider”) will continue to apply when accessing or using our Site and Services on your mobile device. Your Mobile Provider may charge fees for network access, data, email, text messages, roaming, or other mobile or third-party services. YOU ACCEPT RESPONSIBILITY FOR ALL MOBILE PROVIDER FEES.

Device Permissions and Biometric Login. The mobile app may request access to your device’s camera for features such as scanning a license plate or vehicle identification number (VIN) to identify or add vehicle information. Camera access is optional and may be enabled or disabled through your device settings; camera-dependent features may not function if access is denied. If you enable biometric login, authentication is performed using the biometric functionality provided by your device and operating system. AMSOIL does not receive or store the fingerprint, facial template, or other biometric template maintained by your device. Information captured or generated through these features will be handled in accordance with AMSOIL’s Privacy Policy.


Text Messaging Program

This Section applies only to AMSOIL text messaging programs offered in the United States (the “Messaging Program”). By enrolling through a sign-up form, checkbox, text-to-join keyword, or other affirmative opt-in method, you expressly consent to receive recurring automated promotional and personalized marketing messages from or on behalf of AMSOIL, including SMS, MMS, and RCS messages, which may be sent using an automatic telephone dialing system and/or AI-assisted technology, at the mobile number you provide. Consent is not a condition of purchase. Your consent is specific to AMSOIL, although AMSOIL may use service providers to operate the Messaging Program.

When you opt in, you may receive a message confirming your enrollment. Text OIL to 267645 to receive AMSOIL Alerts. Message frequency varies, and message and data rates may apply. AMSOIL may change the short code or telephone number used for the Messaging Program and will provide notice when required.

By enrolling in the Messaging Program, you acknowledge and agree that:

  • You are the current wireless service plan subscriber or an authorized user of the mobile number provided, or you have the subscriber’s permission to enroll that number. You are responsible for keeping your mobile number and account information current.
  • AMSOIL uses Attentive Mobile Inc. (“Attentive”) as a service provider and data processor to help provide the Messaging Program. Attentive and other service providers may process your phone number, contact information, messaging history, and related data as described in AMSOIL’s Privacy Policy.
  • To the extent permitted by applicable law, your affirmative request to receive messages applies even if your number appears on a state or federal Do Not Call list. AMSOIL will send messages in accordance with applicable law.
  • Not all devices, handsets, or carriers are supported, and messages may be delayed or undelivered. AMSOIL, its service providers, and participating carriers are not liable for delayed or undelivered messages. Messages may be sent in unencrypted form and may include limited account or order information visible to anyone with access to your device or carrier account.
  • You may revoke consent at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, or OPT OUT to a message, or by using any other reasonable method communicated to AMSOIL. You may receive one final confirmation message. An opt-out from one Messaging Program may not unsubscribe you from another program in which you separately enrolled.
  • Reply HELP for messaging support or contact [email protected]. If you change or relinquish your mobile number, you are responsible for updating your account and opting out before the number is reassigned.

Messaging Dispute Resolution. Any dispute arising out of or relating to this Section or your receipt of messages from AMSOIL or its service providers will be resolved by binding arbitration on an individual basis under the Federal Arbitration Act and the then-current Consumer Arbitration Rules of the American Arbitration Association (“AAA”). The arbitrator will have exclusive authority to determine the interpretation, applicability, or enforceability of this arbitration provision. YOU AND AMSOIL EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION. Either party may bring an individual action in small claims court, seek relief from an applicable federal, state, or local agency, seek injunctive relief in aid of arbitration, or bring an intellectual-property infringement claim in court. Before commencing arbitration, the claimant must mail a written notice describing the dispute and requested relief to AMSOIL INC., 925 Tower Ave., Superior, WI 54880, Attn: Legal Department, and allow 30 days for the parties to attempt resolution. If any portion of this arbitration provision is unenforceable, that portion will be severed and the remainder will remain in effect.


Payments

Except as expressly provided in these Terms, any payments you submit through the Site or Services are for services provided by us or our service providers. We or such other company may collect these fees directly from users as provided by the Site or Services. You acknowledge these fees are subject to change. Services-specific terms may set out further terms applying to such payments (including in relation to refunds (if any), billing arrangements and any consequences of failing to make timely payments). You must comply with all such terms in relation to such payments by you. You will be required to provide information regarding your credit card or other payment instrument (“Payment Method”). You represent and warrant that such information is true and that you are authorized to use the Payment Method. If any bank or other financial institution refuses to honor any payment of yours, we may charge you a fee up to the maximum amount permitted under applicable law. By providing a Payment Method, you may authorize us to keep such Payment Method on file and charge you the fees, charges, or other amounts. If your Payment Method expires and you do not edit your Payment Method information, you authorize us to charge you for any Services purchased, and you will remain responsible for any uncollected amounts. Unless otherwise provided by law, you must still pay any disputed charges until the dispute is resolved. As applicable, you are responsible for, and agree to pay, all taxes, fees, and surcharges set by any governmental agency or taxing authority. You agree to indemnify and hold us harmless for any liability for tax in connection with the purchase of Services.


Shipping Information

For detailed information regarding refunds, returns, exchanges, and shipping, please refer to our dedicated Return Policy available on our website. By using our services, you agree to be bound by the terms outlined in that policy.


Preferred Customer Program

Participation in AMSOIL’s Preferred Customer Program is subject to the terms and conditions outlined in the Preferred Customer Agreement. By enrolling in the program, you agree to comply with those terms.


Use of Marks

AMSOIL owns certain trademarks, names, logos, insignia, or service marks (“Marks”). You do not have the right to use any Marks except as expressly agreed to in writing by AMSOIL. In addition, the Site and Services may contain third-party marks and third-party copyrighted materials, which are the property of their respective owners. Nothing in these Terms grants to you any rights in or to those third-party marks or materials without such third-party's consent.


Intellectual Property Rights

The Site, Services, and Content are protected by copyright, trademark, and other intellectual property laws. Any unauthorized use of any trademarks, trade dress, copyrighted materials, or any other intellectual property belonging to AMSOIL or any third party is strictly prohibited and may be prosecuted to the fullest extent of the law.


Compliance with Laws

In connection with your access to and use of the Site and Services, you are responsible for complying with all applicable laws, regulations, and rules of all relevant jurisdictions, including all applicable rules regarding online conduct.


Restrictions on Your Use of the Site and Services

  • You will not copy, duplicate, sell, publish, post, license, rent, distribute, modify, translate, adapt, reverse-engineer, or create derivative works of the Site, Services or Content without AMSOIL’s prior written consent.
  • You will not use the Site or Services for unlawful purposes.
  • You will not submit inaccurate, incomplete, or out-of-date information via the Site or Services, commit fraud or falsify information in connection with your use of the Site or Services.
  • You will not engage in data mining or similar data gathering or extraction activities from the Site or Services. You will not use the Site or Services to harvest email addresses, names, or other users for the purpose of sending spam to other users.
  • You will not access, use, or copy any portion of the Site, Services, or Content, through the use of indexing agents, spiders, scrapers, bots, web crawlers, or other automated devices or mechanisms.
  • You will not use the Site or Services to post, transmit, input, upload, or otherwise provide any information or material that contains any viruses, worms, Trojan horses, malware, ransomware, adware, or other harmful computer code that may disable, damage, impair, or otherwise interfere with the Site or Services, the servers used to make the Site or Services available, or any other network, computers, hardware, software or systems.
  • You will not engage in activities that aim to render the Site or Services inoperable or to make their use more difficult.
  • You may not frame, mirror, or circumvent the navigational structure of any part of the Site or Services.
  • You may not engage in any conduct while using the Site or Services that AMSOIL considers inappropriate, unauthorized, or contrary to the intended purpose of the Site.

No Warranty

THE SITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMSOIL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE SITE, SERVICES, AND CONTENT, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM STATUTE, SUCH AS COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE IN TRADE.

AMSOIL MAKES COMMERCIALLY REASONABLE EFFORTS TO ENSURE THAT ALL CONTENT ON THE SITE AND SERVICES IS ACCURATE AND RELIABLE, BUT NEITHER ACCURACY NOR RELIABILITY ARE GUARANTEED. AMSOIL DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF THE SITE. SERVICES, OR CONTENT. AMSOIL DOES NOT WARRANT OR GUARANTEE THAT THE SITE, SERVICES OR CONTENT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY DEFECTS IN THE SITE, SERVICES, OR CONTENT WILL BE CORRECTED, OR THAT THE SITE OR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE DO NOT WARRANT OR ENDORSE ANY THIRD-PARTY CONTENT.


Site and Service Unavailability

Without limiting the generality of the previous section, the Site, Services, or Content may be unavailable or limited for various reasons, and we shall not be liable to you for any such unavailability, including without limitation (a) hardware, software, server, network, or telecommunications failures, (b) severe weather, war, riot, act of God, fire, earthquake, strike, labor shortage, etc., (c) regulatory restrictions and other acts of government, (d) interruptions due to utility and power companies, and (e) interruptions due to hacking or other malicious intrusion.


Third-Party Websites and Content

The Site and Services may link to, or be linked to, websites not maintained or controlled by AMSOIL. Those links are provided as a convenience to the visitors of our Site and Services. AMSOIL is not responsible for examining or evaluating the content or accuracy of third-party websites linked through the Site or Services. AMSOIL does not warrant or endorse any third-party website or any products or services made available through those websites. When leaving the Site or Services, it is the terms and privacy notice of that third party that govern your use of the third-party site (and such third-party's use of your personal information), not these Terms.

The Site and Services may also contain certain third-party Content. We provide third-party Content for your convenience, not as an endorsement. The presence of third-party Content does not mean that AMSOIL has reviewed the third-party Content or that there is any association between AMSOIL and any third party. You access third-party Content at your sole risk. AMSOIL has no responsibility for any third-party Content. Nothing in these Terms grants you any rights to any third-party Content.


Social Media

Links to AMSOILS’s social media pages (e.g. Facebook, Twitter, LinkedIn, and YouTube) may be included on the Site and Services ("Social Media Pages"). Because anyone may post or tag on Social Media Pages, posts do not necessarily reflect AMSOIL’s views. We reserve the right to remove anything from our Social Media Pages, in our sole discretion. We may also take steps to block users from access to our Social Media Pages who violate these Terms. If we follow, like, favorite, share, or re-post an individual's content on our Social Media Pages, that is not an endorsement by AMSOIL of that third party or any service or company they represent.


Linking to the Site

You are prohibited from linking to the Site or Services on your website or elsewhere without the prior express written consent of AMSOIL. If AMSOIL grants you a right to link to the Site or Services, certain terms may apply, and AMSOIL reserves the right to revoke such consent at any time. You are responsible for any costs incurred by AMSOIL in enforcing its rights under this Section.


Termination

If you violate applicable laws or these Terms, you are immediately prohibited from further use of the Site, Services or Content, and we may restrict your access to the Site, Services, and Content. AMSOIL may suspend or terminate your use of the Site, Services, or any Content, in whole or in part, at any time in its sole discretion for any reason. AMSOIL shall not be liable to you or anyone else for any damages arising from or related to AMSOIL’s suspension or termination of your use or access to the Site, Services, or the Content, or in the event AMSOIL modifies, discontinues or restricts the availability of your use the Site, Services, or the Content (in whole or in part).


Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AMSOIL OR ITS DIRECTORS, OFFICERS, OWNERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, CONSULTANTS, VOLUNTEERS, AGENTS, SUPPLIERS, ATTORNEYS OR LICENSORS (TOGETHER, “AMSOIL PARTY(IES)”) BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE SITE, SERVICES, OR CONTENT, OR YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, SERVICES, OR CONTENT, REGARDLESS OF THE FORM OF ACTION, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR OTHERWISE, AND EVEN IF A AMSOIL PARTY HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF THE LOSS OR DAMAGE.

YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP ACCESSING AND USING THE SITE, SERVICES, OR CONTENT.

WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE AMSOIL PARTIES ARISING OUT OF OR IN CONNECTION WITH THE SITE, SERVICES, OR CONTENT, OR YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, SERVICES OR CONTENT EXCEED $100 U.S.D., EVEN IF ANY REMEDY PROVIDED FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.


Indemnification

YOU SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS THE AMSOIL PARTIES FROM AND AGAINST ALL LOSSES, CLAIMS, LIABILITIES, DEMANDS, COMPLAINTS, ACTIONS, DAMAGES, JUDGMENTS, SETTLEMENTS, FINES, PENALTIES, EXPENSES, AND COSTS (INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS’ FEES) THAT ARISE OUT OF OR IN CONNECTION WITH (A) YOUR VIOLATION OF APPLICABLE LAWS, (B) YOUR MISUSE OF THE SITE, SERVICES, OR ANY CONTENT, AND (C) YOUR BREACH OF THESE TERMS OR ANY OTHER TERMS ON THE SITE. WE RESERVE, AND YOU GRANT TO US, THE EXCLUSIVE RIGHT TO ASSUME THE DEFENSE AND CONTROL OF ANY MATTER SUBJECT TO INDEMNIFICATION BY YOU (SUBJECT TO YOUR CONTINUING INDEMNIFICATION).


Cooperation with Law Enforcement

AMSOIL will cooperate with law enforcement if you are suspected of having violated applicable laws. YOU WAIVE AND HOLD AMSOIL AND THE AMSOIL PARTIES HARMLESS FOR ANY COOPERATION WITH, OR DISCLOSURE OF YOUR INFORMATION TO, LAW ENFORCEMENT RELATING TO YOUR SUSPECTED VIOLATION OF APPLICABLE LAWS.


Governing Law

These Terms will be governed by and construed, interpreted, and enforced in accordance with the laws of the State of Wisconsin, without reference to its conflicts or choice-of-law principles, except that the Federal Arbitration Act governs the arbitration provision in Section 10. Any court proceeding not required to be arbitrated under Section 10 will take place in the state courts located within the geographic boundaries of the Western District of Wisconsin or the federal courts in the Western District of Wisconsin, and you consent to the exclusive jurisdiction and venue of those courts. You irrevocably submit and consent to the personal jurisdiction of those courts. Any cause of action or other claim brought by you with respect to the Site, Services, or Content must be commenced within one year after the cause of action or claim arises.


Assignment

We may assign our rights and delegate our duties under these Terms at any time to any party without notice to you. You may not assign your rights or delegate your duties under these Terms without our prior written consent. These Terms inure to the benefit of AMSOIL’s successors and assigns.


Entire Agreement

These Terms and any terms posted throughout the Site or Services(if any) are the entire agreement between you and AMSOIL with respect to your access to and use of the Site and Services.


Waiver

AMSOIL’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by AMSOIL.


Severability

If any provision of these Terms is held invalid, void, or unenforceable, that provision will be severed from the remaining provisions and the remaining provisions will remain in full force and effect. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.


Electronic Communications

These Terms and any other documentation, agreements, notices, or communications between you and AMSOIL may be provided to you electronically to the extent permissible by law.
